The Jumpstart Our Business Startups (JOBS) Act

On April 5, 2012, President Obama signed the Jumpstart Our Business Startups Act (“JOBS Act”) into law.  The JOBS Act’s purpose is to drive the creation of jobs in America by removing access barriers for U.S. and non-U.S. Companies to capital from both public and private sources.  The JOBS Act makes significant changes to the securities laws and focuses on streamlining the initial public offering (“IPO”) process by reducing some of the costs and burdens of going public.  While important provisions of the JOBS Act will go into effect immediately, other provisions will require further rulemaking by the U.S. Securities and Exchange Commission (“SEC”).

CROWDFUNDING AND THE SALE OF SECURITIES

In April of this year, President Obama signed the JOBS Act – a nifty acronym for the Jumpstart Our Business Startups Act. One provision of the JOBS Act that will receive substantial attention over the coming months, and has the potential to radically impact the funding of startup businesses, is Title III, the "Capital Raising Online While Deterring Fraud and Unethical Non-Disclosure Act of 2012", or CROWDFUND Act. (I think some people must sit around all day, every day, figuring out legislative titles that yield a catchy acronym.)

CENTURY CITY AFTER HOURS

TITANIC REMEMBERED

Late in the evening of April 14, 1912, the Titanic struck an iceberg on its maiden voyage.   In slightly more than two hours, the “unsinkable” ship was at the bottom of the ocean.  As most of us know, barely more than 700 of the 2,224 persons on the Titanic survived the sinking.  This horrific tragedy continues to fascinate us, and its centennial anniversary is the cause for numerous books, memorabilia, and even the re-issuance of the namesake movie by James Cameron in 3-D.

Photo Feature: 44th Annual Installation Banquet and Awards Ceremony
